Terms & Conditions
These terms govern your engagement with Saxum's AI consultancy services. Please read them carefully before commissioning any work. By proceeding, you confirm that you have read and understood these terms.
1. Definitions
In these Terms and Conditions, the following terms carry the meanings described below:
- "Agreement"
- — these Terms and Conditions together with any applicable proposal, statement of work, or service order.
- "We", "Us", "Our", "Saxum"
- — Saxum, a consultancy operating from 67 Jalan Hang Tuah, 55200 Kuala Lumpur, Malaysia.
- "Client", "You", "Your"
- — the organisation or individual engaging Saxum for services.
- "Service" or "Services"
- — the AI consultancy, development, analysis, or advisory work described in any proposal or statement of work issued by Saxum.
- "Deliverable"
- — any document, model, report, code, or material produced by Saxum as part of the Service.
- "Content"
- — data, documents, materials, and information supplied by either party during the engagement.
- "Engagement Period"
- — the duration of the service as specified in the relevant service description or statement of work.
2. Acceptance of Terms
By commissioning services from Saxum — whether via a signed proposal, written confirmation, or payment of an invoice — you confirm that:
- You have read and understood these Terms and Conditions in full.
- You are at least 18 years of age and legally capable of entering a binding agreement.
- If acting on behalf of an organisation, you have the authority to bind that organisation to these terms.
- You agree to comply with all applicable Malaysian laws and regulations in connection with your use of our services.
These terms apply to all engagements unless a separate written contract signed by both parties expressly supersedes them.
3. Service Description
Saxum provides AI consultancy services to organisations in Malaysia and the wider Asia-Pacific region. Our current service offerings include:
Automated Data Classification
Implementation of classification systems for data ingestion pipelines. Engagement duration: 6 weeks. Delivered as a functional model with integration support.
AI-Powered Personalised Learning
Development of adaptive learning systems for education or corporate training platforms. Engagement duration: 10 weeks. Includes learner profile modelling and LMS integration.
AI Cost-Benefit Analysis
Structured financial assessment of proposed AI initiatives. Engagement duration: 2 weeks. Delivered as a financial model with scenario analysis.
Service availability is subject to scheduling and resource capacity. Saxum reserves the right to decline an engagement if it falls outside our area of competence or available resources.
4. User Responsibilities
To enable effective delivery of services, the Client agrees to:
- Provide timely access to relevant data, systems, documentation, and personnel as reasonably required.
- Designate a project contact who has the authority to make decisions and provide approvals.
- Respond to requests for information, review, or feedback within agreed timeframes.
- Ensure that any data shared with Saxum is provided lawfully, including appropriate consents where personal data is involved.
- Inform Saxum promptly of any constraints, regulatory requirements, or organisational policies that may affect delivery.
- Use all deliverables in accordance with applicable laws and within the scope agreed.
Prohibited Activities
Clients must not use Saxum's deliverables or services to:
- Process personal data without a lawful basis under the Personal Data Protection Act 2010 (PDPA).
- Develop systems intended to cause harm, discrimination, or deception.
- Reproduce or redistribute deliverables beyond the scope of the agreed licence.
- Reverse-engineer or extract proprietary methodologies from deliverables beyond ordinary use.
- Misrepresent Saxum's involvement or imply endorsements not agreed in writing.
5. Intellectual Property
Saxum's Proprietary Methods
All internal frameworks, methodologies, templates, tools, and pre-existing intellectual property used by Saxum remain the sole property of Saxum regardless of whether they are incorporated into a deliverable.
Deliverable Licence
Upon receipt of full payment, Saxum grants the Client a non-exclusive, non-transferable licence to use the deliverable for its internal business purposes. This licence does not permit sub-licensing, resale, or redistribution without prior written agreement.
Client-Supplied Materials
Data, documents, and materials supplied by the Client remain the Client's property. The Client grants Saxum a limited licence to use such materials solely for the purpose of performing the agreed services.
Portfolio Rights
Saxum may reference the engagement in general terms (e.g., sector, service type, high-level outcome) for portfolio or marketing purposes, unless the Client requests otherwise in writing prior to project commencement.
6. Payment Terms
Currency & Pricing
All prices are quoted in Malaysian Ringgit (RM) and are inclusive of applicable taxes unless explicitly stated otherwise. Current service fees are: Automated Data Classification — RM 2,100; AI-Powered Personalised Learning — RM 3,900; AI Cost-Benefit Analysis — RM 600.
Payment Schedule
Unless otherwise stated in the proposal, a deposit of 50% is due upon project confirmation. The remaining balance is invoiced upon delivery of the final deliverable. For engagements exceeding 6 weeks, milestone-based invoicing may apply as detailed in the proposal.
Payment Methods
Payments may be made via bank transfer to Saxum's designated account. Details are provided on each invoice. Payments are due within 14 calendar days of the invoice date unless otherwise agreed.
Late Payments
Saxum reserves the right to pause work on an engagement where invoices remain unpaid beyond the due date. Resumption of work is subject to settlement of outstanding amounts.
Refund Policy
Deposits are non-refundable once project work has commenced. Where a project is cancelled by the Client before commencement, the deposit may be refunded at Saxum's discretion. Completed deliverables are not subject to refund after acceptance.
7. Service Delivery
Service timelines are estimates based on typical engagement conditions. Actual timelines may be affected by factors including the availability of Client-supplied materials, the complexity of integration environments, and the timely provision of approvals or feedback.
Saxum will communicate any expected delays promptly and work collaboratively with the Client to adjust timelines where necessary.
Deliverables are considered accepted unless the Client raises written objections within 7 business days of delivery, detailing specific deficiencies relative to the agreed scope.
Scope changes requested after project commencement may be accommodated subject to a revised timeline and additional fees, to be agreed in writing.
8. Disclaimers
Services are provided on an "as-is" basis reflecting professional judgement at the time of delivery. AI systems and models involve inherent variability and uncertainty, and Saxum does not warrant specific accuracy levels, performance metrics, or business outcomes.
The AI Cost-Benefit Analysis represents a structured assessment based on information provided and industry benchmarks. It does not constitute financial, legal, or regulatory advice, and should not be relied upon as the sole basis for investment decisions.
Saxum is not responsible for outcomes arising from Client decisions made on the basis of deliverables, or from changes to external conditions after delivery.
Where third-party tools, libraries, or platforms are involved, their respective terms of service apply and Saxum assumes no responsibility for their performance, availability, or policy changes.
9. Limitation of Liability
To the fullest extent permitted by Malaysian law, Saxum's total liability to the Client in respect of any engagement shall not exceed the total fees paid by the Client for the specific service giving rise to the claim.
Saxum shall not be liable for indirect, consequential, incidental, or special damages — including loss of revenue, loss of data, or loss of anticipated savings — even if Saxum has been advised of the possibility of such damages.
Nothing in these terms limits liability for fraud, gross negligence, or any liability that cannot be excluded under applicable Malaysian law.
In the event of circumstances beyond reasonable control — including network outages, natural events, or third-party platform failures — Saxum's obligations shall be suspended for the duration of such circumstances.
10. Confidentiality
Both parties agree to treat as confidential any non-public information shared during the engagement. Confidential information shall not be disclosed to third parties without prior written consent, except as required by law or court order.
This obligation continues for a period of 3 years following the conclusion of the engagement, or indefinitely with respect to trade secrets.
Saxum may use anonymised, aggregated, or otherwise non-identifiable insights from engagements for research and professional development purposes.
11. Termination
By the Client: The Client may terminate an engagement by providing written notice. Fees for work completed to the date of termination are payable. Non-refundable deposits apply as described in Section 6.
By Saxum: Saxum may terminate an engagement with 14 days' written notice if the Client materially breaches these terms and fails to remedy the breach within 7 days of notification, or if continued engagement becomes impractical due to circumstances outside Saxum's control.
Effect of Termination: Upon termination, each party shall return or destroy the other's confidential materials. Clauses relating to intellectual property, confidentiality, payment, and limitation of liability survive termination.
12. Dispute Resolution
Governing Law: These Terms and Conditions are governed by the laws of Malaysia, including the Contracts Act 1950 and relevant consumer protection legislation.
Jurisdiction: Any disputes shall be subject to the exclusive jurisdiction of the courts of Kuala Lumpur, Malaysia.
Informal Resolution: Before initiating formal proceedings, both parties agree to attempt good-faith resolution through direct negotiation. Either party may initiate this process by writing to the other with details of the concern.
Mediation: If informal resolution is unsuccessful within 30 days, the parties may agree to seek mediation through the Asian International Arbitration Centre (AIAC) before proceeding to litigation.
13. General Provisions
Entire Agreement: These terms, together with any applicable proposal or statement of work, constitute the entire agreement between the parties regarding the subject matter herein.
Severability: If any provision is found to be unenforceable, the remaining provisions continue in full force.
Waiver: Failure by either party to enforce any provision does not constitute a waiver of future enforcement rights.
Assignment: The Client may not assign rights or obligations under these terms without Saxum's prior written consent. Saxum may engage subcontractors where appropriate, retaining responsibility for deliverable quality.
Notices: Formal notices should be sent in writing to the contact details provided in Section 15, or via email with written acknowledgement of receipt.
14. Changes to Terms
Saxum may update these Terms and Conditions from time to time. Where changes are material, we will update the "Last Updated" date at the top of this page and endeavour to inform active clients by email.
For ongoing engagements, the terms in effect at the time of contract formation apply unless both parties agree in writing to updated terms.
Continued use of our website or commissioning of services after changes are posted constitutes acceptance of the revised terms.
